Every company with Beneficial Owners must file their details with Sri Lanka's Registrar of Companies by 30 September 2026. Missing the date risks a fine of up to one million rupees.

The Department of the Registrar of Companies has issued an important notice to all directors and secretaries of companies in Sri Lanka. Every company that had Beneficial Owners when the Companies (Amendment) Act, No. 12 of 2025 came into operation must file their details with the Registrar. NCIT is passing the notice on to its members.
Section 130H(1) of the Companies (Amendment) Act, No. 12 of 2025 covers every company incorporated or registered under the Companies Act, No. 7 of 2007, or under any former written law relating to companies, that had Beneficial Owners on the date the amending Act came into operation. Those companies must submit the details of their Beneficial Owners to the Registrar, in the prescribed form and manner, within six months from that date.
All directors and secretaries of companies that have not yet complied are strongly urged to submit the required Beneficial Ownership information on or before 30 September 2026.
The notice is direct about the consequences. Failing to comply within the stipulated period may bring administrative penalties. A company that fails to comply with the relevant provisions is also guilty of an offence and, on conviction, is liable to a fine not exceeding one million rupees (Rs. 1,000,000), or to imprisonment of either description for a period not exceeding ten years, or to both.

Member companies that have not filed should treat this as a short deadline: confirm with your company secretary who your Beneficial Owners are, and file before 30 September 2026.
